ARTICLE 1: PREAMBLE & SELLER'S CONTACT DETAILS

This document governs the General Terms and Conditions of Sale: ALEXK SASU

BETWEEN

ALEXK SASU, registered with the RCS of Nanterre under the number 852548189, whose head office is located at 88 Avenue Charles de Gaulle, 92200 Neuilly sur Seine.

Intra-Community VAT number: FR86852548189 hereinafter referred to as the company or the seller

AND

The individual or legal entity purchasing products or services from the Company hereinafter the buyer or the client

The Seller is a publisher of Products and Services for online sales of pet accessories intended for consumers, marketed through its website www.wayko.eu. The list and description of goods and services offered by the Company can be viewed on the aforementioned site.

ALEXK publishes and operates the brand and the website https://wayko.eu

ARTICLE 2: GENERAL PROVISIONS

Purpose of the General Terms and Conditions of Sale (hereinafter referred to as “the GTC”) and scope of application

These General Terms and Conditions of Use and Sale (“GTC”) define the terms of sale (ordering, payment, delivery, and management of potential returns) of Products and the terms of use of the Site.

The GTC do not govern the provision of services or the sale of products by entities other than ALEXK which may be present on the Site through links, banners, or other hypertext links. ALEXK cannot be held responsible for the provision of services or the sale of products by third parties, or for the conclusion of e-commerce transactions between Clients and third parties.

Availability and enforceability of the GTC

The GTC are made available to Clients on the Site under the “GTC” tab where they are directly accessible. The GTC are available on the website HERE

The GTC may also be communicated by ALEXK upon simple request by the Client via email or postal mail.

All Orders placed on the Site are subject to the entirety of these GTC.

The GTC are binding on the Client who acknowledges, by checking a box provided for this purpose, having read and accepted them, while ensuring they have full legal capacity and the legal age required (18 years or older) before definitively validating their Order.

Modification of the GTC

ALEXK reserves the right to adapt or modify these GTC at any time. In the event of a modification of the GTC, the version of the GTC applicable is the one available online on the Site at the time of the Order.

ARTICLE 3: CLIENT CAPACITY AND STATUS

The Client declares to be a natural person at least 18 years of age.

The Client acts as a consumer within the meaning of the preliminary article of the consumer code. They refrain from any purchase for resale, within the meaning of Article L.110-1 of the Commercial Code, and declare that their Order is not directly related to a professional activity and remains limited to strictly personal use.

ARTICLE 4: PRODUCTS AND SERVICES

Product Presentation

The products offered for sale are those presented on the Site.

The company ALEXK takes great care in presenting and describing its Products to inform the Customer, so that they can know, before placing a final Order, the essential characteristics of each Product and their availability.

For technical reasons (photographic and computer-related), the actual appearance of the Products may sometimes slightly differ from that of the photos presented on the Site. That is why the photographs are not contractual.

Compliance

The Products comply with the current regulations regarding the safety and health of individuals, the fairness of commercial transactions, and consumer protection at the time they are placed on the market.

Product Availability

The Product offers are valid, unless otherwise specified, as long as they are visible on the Site, subject to available stock.

Sales are concluded subject to the actual availability of the Products. In case of unavailability of the ordered Product, ALEXK will immediately inform the Customer and may offer a Product of equivalent quality and price or, failing that, a refund of the Order amount.

ARTICLE 5: PRODUCT PRICES

The prices of the products sold through the websites are indicated in Euros, including all taxes, and are precisely determined on the product description pages.

They are also indicated in Euros excluding taxes (to which VAT + other possible taxes are added) on the product order page, and excluding specific shipping charges.

For all products shipped outside the European Union and/or DOM-TOM, the price is automatically calculated excluding taxes on the invoice. Custom duties or other local taxes or import duties or state taxes may be applicable in certain cases.

These duties and amounts are not the responsibility of the Seller. They will be borne by the buyer and are their responsibility (declarations, payment to the competent authorities, etc.). The Seller invites the buyer to inquire about these aspects with the corresponding local authorities.

ALEXK reserves the right to change its prices at any time in the future. The telecommunication costs necessary to access the Company's websites are the responsibility of the Client.

Delivery costs, if applicable, are also the responsibility of the Client.

Article 6: ORDER PROCESS

Final Steps

In accordance with the provisions of Article 1127-1 of the French Civil Code, the Client must follow a series of steps to conclude the contract electronically in order to complete their order:

  • Information on the essential characteristics of the Product

  • Choice of the Product, where applicable, its options

  • Indication of the essential contact details of the Client (identification, email, address…)

  • Acceptance of these General Terms of Sale

  • Verification of the elements of the order (double-click formality) and, if applicable, correction of errors.

The language proposed for the conclusion of the contract is French

Before confirming, the Buyer has the possibility to check the details of their order, its price, and to correct any possible errors, or cancel their order. The confirmation of the order will result in the formation of this contract.

By definitively validating the Order by clicking on the "Payment" icon, a contract is formed between the Client and ALEXK.

Then, follow the instructions for payment, payment for the products, then delivery of the order. The Client will receive confirmation by email of the order payment, as well as an acknowledgment of the order confirming it. They will receive a PDF copy of these General Terms of Sale.

Refusal to validate the Order for legitimate reasons

ALEXK reserves the right to refuse any Order if it is abnormal, made in bad faith or for any other legitimate reason, and particularly if the quantities of Products ordered are abnormally high compared to the Client's consumer status or when there is a dispute with the Client concerning the payment of a previous order.

Modification of the order

Any modification of the Order by the Client after confirmation of their Order is subject to the express acceptance of ALEXK.

ARTICLE 7: PAYMENT

Due Date

Payment is due immediately upon order, including for pre-ordered products.

Payment Methods

The Client can make the payment by credit card & Paypal. Cards issued by banks outside of France must be international credit cards (Mastercard or Visa).

Payment Security

Secure online payment by credit card is carried out by our payment provider. The information transmitted is encrypted end-to-end and cannot be read during transport over the network. Once the payment is initiated by the Client, the transaction is immediately debited after verification of the information. In accordance with the provisions of the Monetary and Financial Code, the payment commitment made by card is irrevocable. By providing his banking information at the time of sale, the Client authorizes the Seller to debit his card for the amount corresponding to the indicated price. The Client confirms that he is the legal holder of the card to be debited and that he is legally entitled to use it. In case of error, or impossibility to debit the card, the Sale is immediately void and the order canceled.

Invoice

An invoice will be issued by ALEXK and sent with the Products.

ARTICLE 8: DELIVERY TERMS

Delivery Method

ALEXK offers two delivery methods to its Customers in mainland France:

Home delivery with a delivery time between 1 to 5 working days from the date of registration of the Order indicated in the confirmation email;

Relay point delivery with a delivery time between 5 to 6 working days from the date of registration of the Order indicated in the confirmation email.

The Customer will receive a notification by email as soon as their Order is dispatched, along with a tracking number to follow their package.

The Customer is informed that in case of temporary stock shortage due to high demand, or in case of shipment delay, delivery times may be extended.

For Orders outside mainland France, the delivery time is indicated during the Order process before the final validation of the Order, and may vary depending on the Products ordered, the destination country, and the delivery method chosen by the Customer.

Address

Delivery is made to the delivery address specified by the Customer at the time and as part of their Order, the Customer must ensure its accuracy.

Receipt

Each delivery is deemed completed upon the availability by the carrier of the Products to the Customer or to a third party designated by them, materialized by the control system used by the carrier. Unless proven otherwise, no disputes regarding the delivery itself will be possible if the package appears to have been delivered, the carrier's IT system being the authority.

Anomaly, damage, damaged package

It is strongly recommended that the Customer notify the carrier of any reservations about the packaging at the time of delivery and, if applicable, the condition of the Products (e.g., opened package) and possibly refuse the Products and also notify ALEXK at the following address: contact@wayko.eu

Any motivated protest for damage or partial loss must in any case be notified as soon as possible to ALEXK and at the latest within 3 working days following the receipt of the Products by email contact@wayko.fr or by registered mail with acknowledgment of receipt, without prejudice to the exercise by the Customer of their recourse against ALEXK under the conditions and limits provided by law and the present GTC.

Delivery Delay

In case of known shipping or delivery delay by ALEXK, an information email will be sent to the Customer as soon as possible and a new shipping or delivery date will be proposed.

In parallel, it is strongly recommended that the Customer report any delivery delay to the customer service of ALEXK who will then conduct an investigation with the Post Office and/or the carriers concerned to locate the package.

Contract Resolution

In any case, the Customer will have the option to resolve the Contract (i.e., cancel their order) if the delivery of their Order did not occur on the delivery date initially indicated.

To exercise this right:

The Customer must first instruct ALEXK to deliver within a reasonable additional time:

  • by mail sent to the following address: ALEXK / 88 Avenue Charles de Gaulle 92200 Neuilly sur Seine or by email sent to the following address contact@wayko.fr

  • If the Products have not been received at the end of this new period, the Customer can then, in a second step, resolve the Contract in the same manner, namely by sending a new letter or email.

The Contract is considered resolved upon receipt by ALEXK of the letter or document informing them of this resolution, unless ALEXK has fulfilled in the meantime.

However, the Customer may immediately resolve the Contract when ALEXK refuses to deliver on the initially indicated delivery date if this date is an essential condition of the Contract for the Customer. This essential condition results from the circumstances surrounding the conclusion of the Contract or an express request from the Customer before the conclusion of the Contract.

Refund

When the Contract is resolved and in accordance with article L.242-4 of the Consumer Code, ALEXK is required to refund the Customer the full amount paid, no later than 14 days following the date of Contract resolution.

Delivery and risk transfer

The risks of loss or damage to the Products are transferred to the Customer at the moment they, or a third party they have designated, physically take possession of the Product(s) regardless of its/their nature.

ARTICLE 9: GUARANTEES

The Products offered on the Website are covered by the legal guarantees under French law.

All Products for sale on the Website benefit from the legal guarantee of conformity (L217-4 and following of the Consumer Code) and the guarantee against hidden defects (articles 1641 and following of the Civil Code).

Reminder of articles L.217-4, L.217-5 and L.217-12 of the Consumer Code, and articles 1641 and 1648, first paragraph, of the Civil Code:

Article L.217-4 of the Consumer Code: “The seller delivers a good in accordance with the contract and is liable for defects in conformity existing at the time of delivery. He is also liable for defects in conformity resulting from the packaging, assembly instructions, or installation when it has been made his responsibility by the contract or has been carried out under his responsibility.”

Article L.217-5 of the Consumer Code: “The good is in accordance with the contract:

  1. If it is suitable for the use usually expected of a similar good and, if applicable:

    • if it corresponds to the description given by the seller and possesses the qualities that he has presented to the buyer in the form of a sample or model;

    • if it has the qualities that a buyer can legitimately expect, given the public statements made by the seller, by the producer, or by his representative, notably in advertising or labeling;

  2. Or if it has the characteristics defined by mutual agreement by the parties or is suitable for any special use sought by the buyer, brought to the knowledge of the seller and that the latter has accepted.”

Article L.217-12 of the Consumer Code: “The action resulting from the lack of conformity is prescribed by two years from the delivery of the good.”

Article 1641 of the Civil Code: “The seller is bound by the warranty against hidden defects of the item sold which render it unsuitable for the use for which it was intended, or which reduce this use so much that the buyer would not have acquired it, or would have given a lesser price for it, if he had known of them.”

Article 1648 of the Civil Code, first paragraph: “The action resulting from redhibitory defects must be brought by the purchaser within two years from the discovery of the defect.”

Terms of exercising the legal guarantee of conformity and consequences

The seller is required to deliver a Product in accordance with the Contract and is liable for defects in conformity existing at the time of delivery. He is also liable for defects in conformity resulting from the packaging, assembly instructions, or installation when it has been made his responsibility by the contract or has been carried out under his responsibility.

When acting under the legal guarantee of conformity, the Client:

  • benefits from a period of two years from the delivery of the Product to act;

  • can normally choose between repair or replacement of the Product, subject to the provisions of article L.217-9 of the Consumer Code.

  • is exempt from providing proof of the existence of the lack of conformity of the Product during the twenty-four (24) months following the delivery of the Product.

In this case, ALEXK undertakes at the Client's choice:

  • to replace the Product with an identical Product based on available stock,

  • to reimburse the price of the Product if the replacement of a Product proves impossible,

  • or to refund part of the price of the Product if the Client decides to keep the Product.

Terms of exercising the legal guarantee of hidden defects of the Product under article 1641 of the Civil Code and consequences

The Client may decide to implement the guarantee against hidden defects of the item sold under article 1641 of the Civil Code. In this case, he may choose between the cancellation of the sale or a reduction of the sale price in accordance with article 1644 of the Civil Code.

In this case, ALEXK undertakes at the Client's choice:

  • to refund the entire price of the returned Product,

  • or to refund part of the price of the Product if the Client decides to keep the Product.

ARTICLE 10: RETENTION OF TITLE CLAUSE

The products remain the property of the Company until full payment of the price is made.

ARTICLE 11: WITHDRAWAL PERIOD

Conditions and Timeframe for Exercising the Right to Withdrawal

In accordance with the provisions of Article L.221-18 of the Consumer Code, the Client has the right to exercise their right of withdrawal without providing any reason or incurring any costs other than those provided in Articles L.221-23 to L.221-25 of the Consumer Code.

The withdrawal period expires fourteen days (14 days) after the day on which the Client, or a third party other than the carrier designated by the Client, physically takes possession of the Product(s) resulting from their Order.

In the case where multiple Products are ordered by the Client using a single Order but these Products are delivered separately, the withdrawal period expires fourteen (14) days after the day on which the Client or a third party other than the carrier designated by the Client physically takes possession of the last Product resulting from their Order.

Methods for Exercising the Right to Withdrawal and Client Obligations

If exercising their right of withdrawal, the Client must clearly express to ALEXK's Customer Service their intention to withdraw within the maximum period of 14 days mentioned above. To do this, they may use a declaration as long as it is unambiguous and send it to ALEXK's address.  The burden of proof of exercising the right of withdrawal lies with the Client. Therefore, we strongly recommend that the Client use a registered letter with acknowledgment of receipt or send it directly via email. When the Client has exercised their right of withdrawal by email, as soon as ALEXK receives the Client's decision to withdraw, ALEXK will promptly send an acknowledgment of receipt to the Client by email.

The Client must then, without undue delay and no later than fourteen (14) days from the communication of their decision to withdraw:

  • place the complete Products they wish to return in their original packaging and in any case in a condition that allows for resale as new

  • include, if possible, a copy of the purchase invoice or any other element that allows identifying the Order concerned;

  • then put everything in a suitable shipping box ensuring the proper transport and safety of the Products in order to return them to ALEXK

It is strongly advised that the Client returns the package by any means that provides proof of its shipment and gives a certain date.

The responsibility of the Client may be engaged in case of depreciation of the Products resulting from handling other than that necessary to establish the nature and essential characteristics of the Products.

Direct Costs of Returning Products

In the event of exercising their right of withdrawal, the direct costs of return shall be borne by the Client.

Effects of Exercising the Legal Right of Withdrawal

If the Client implements their right of withdrawal, ALEXK will reimburse the Client the full amounts paid, including any delivery charges (except for any additional charges arising from the Client choosing, where applicable, a more expensive delivery method than the standard delivery method offered by ALEXK).

The reimbursement of the full amounts paid will be made to the bank account debited during the Order, as soon as possible and no later than fourteen (14) days from the date ALEXK is informed of the Client's decision to withdraw, provided ALEXK has received all Products intended to be returned.

The reimbursement of the full amounts paid to ALEXK will be deferred until ALEXK has recovered from the Client all of the Products for which the right of withdrawal is exercised or until the Client has provided proof of shipment of these Products, the date taken being that of the first of these facts.

ARTICLE 12: CLAIMS AND MEDIATION

In accordance with the provisions of Articles L. 611-1 to L. 616-3 of the French Consumer Code, the consumer is informed that they can refer to a consumer mediator under the conditions provided for in Title I of Book VI of the Consumer Code. In the event of a failure of the claim request with the Seller's customer service, or in the absence of a response within two months, the consumer may submit the dispute to a mediator who will independently try to bring the parties together in order to reach an amicable solution.

ARTICLE 13: TERMINATION OF THE CONTRACT

The order may be canceled by the buyer via registered letter with acknowledgment of receipt in the following cases:

  • Delivery of a product that does not conform to the order's specifications.

  • Delivery exceeding the deadline set at the time of the order or, in the absence of a date, within thirty days following payment.

  • Unjustified price increase or modification of the product. In these cases, the buyer may demand the reimbursement of the deposit paid, increased by interest calculated at the legal rate from the date of receipt of the deposit.

ARTICLE 14: INTELLECTUAL PROPERTY RIGHTS

Trademarks, domain names, products, software, images, videos, texts or more generally any information subject to intellectual property rights are and remain the exclusive property of the Seller. No transfer of intellectual property rights is made through these General Terms and Conditions of Sale. Any total or partial reproduction, modification or use of these assets for any reason whatsoever is strictly prohibited.

ARTICLE 15: FORCE MAJEURE

The execution of the seller's obligations under these terms is suspended in the event of an unforeseen circumstance or force majeure that would prevent execution. The seller will inform the client of the occurrence of such an event as soon as possible.

ARTICLE 16: NULLITY AND AMENDMENT OF THE CONTRACT

If any provision of this contract were nullified, this nullification would not lead to the nullification of the other provisions which will remain in force between the parties. Any contractual modification is only valid after written and signed agreement by the parties. Article 18: Protection of personal data In accordance with Regulation 2016/679 of April 27, 2016, concerning the protection of natural persons with regard to the processing of personal data and on the free movement of such data, the Seller implements a personal data processing system aimed at the sale and delivery of products and services defined in this contract.

The Buyer is informed of the following:

  • The identity and contact details of the data controller and, where applicable, the representative of the data controller: the Seller, as indicated at the top of these GTC.

  • The contact details of the data protection officer.

  • The legal basis for processing.

  • Contractual performance.

  • The recipients or categories of recipients of personal data, if any: the data controller, its marketing services, IT security services, sales, delivery and order services, subcontractors involved in delivery and sales operations, as well as any authority legally authorized to access the personal data in question.

  • No transfer outside the EU is planned.

  • Data retention period: the duration of the commercial limitation period.

  • The data subject has the right to request from the data controller access to personal data, rectification or erasure of them, or restriction of processing concerning the data subject, or the right to object to processing and the right to data portability.

  • The data subject has the right to lodge a complaint with a supervisory authority.

  • The information requested during the order is necessary for invoicing (legal obligation) and delivery of ordered goods, without which the order cannot be placed. No automated decision-making or profiling is implemented through the order process.

ARTICLE 17: APPLICABLE LAW AND CLAUSES

All the clauses listed in these general terms and conditions of sale, as well as all purchase and sale operations referred to therein, will be subject to French law. The invalidity of a contractual clause does not entail the invalidity of these general terms and conditions of sale.

ARTICLE 18: CONSUMER INFORMATION

For the information of consumers, the provisions of the Civil Code and the Consumer Code are reproduced below:

Article 1641 of the Civil Code: The seller is bound by the guarantee due to hidden defects in the item sold that render it unfit for the use for which it was intended, or that so diminish this use that the buyer would not have acquired it, or would have given only a lower price, if they had known about them.

Article 1648 of the Civil Code: The action resulting from redhibitory defects must be initiated by the buyer within a period of two years from the discovery of the defect. In the case provided for by article 1642-1, the action must be initiated, under penalty of foreclosure, within the year following the date on which the seller can be discharged from apparent defects or lack of conformity.

Article L. 217-4 of the Consumer Code: The seller delivers an item that complies with the contract and is responsible for defects in conformity existing at the time of delivery. He is also responsible for defects in conformity resulting from the packaging, assembly instructions, or installation when this has been charged to him by the contract or carried out under his responsibility.

Article L. 217-5 of the Consumer Code: The item complies with the contract: 1° If it is suitable for the use usually expected of a similar item and, where applicable:

·      If it corresponds to the description given by the seller and has the qualities that he presented to the buyer in the form of a sample or model.

·      If it has the qualities that a buyer can legitimately expect given the public statements made by the seller, producer, or their representative, notably in advertising or labeling.

·      Or if it has the characteristics defined by mutual agreement by the parties or is suitable for any special use sought by the buyer, brought to the seller's attention and accepted by him.

Article L. 217-12 of the Consumer Code: The action resulting from the lack of conformity is prescribed by two years from the delivery of the item.

Article L. 217-16 of the Consumer Code: When the buyer asks the seller, during the course of the commercial guarantee granted to him at the time of the acquisition or repair of a movable item, for a repair covered by the guarantee, any period of immobilization of at least seven days is added to the duration of the guarantee that remained to run. This period starts from the request for intervention by the buyer or from the provision for the repair of the item in question, if this provision is later than the request for intervention.
